Platform and Integration Terms
For partners, creators, vendors, service providers and anyone who connects an app, API, website, funnel or other integration to the Emanay OS, or who receives Emanay OS data. These terms apply in addition to Part 1.
1. Introduction
1.1 These Platform and Integration Terms (the “Platform Terms”) govern access to and use of the OS through any application programming interface, webhook, connected account, data feed, form endpoint, payment connection, messaging automation, partner page or other integration that Emanay makes available or approves (each an “Integration”), and any use of Platform Data (as defined in section 12).
1.2 By building, connecting or operating an Integration, or by receiving Platform Data, you (“you”) agree to these Platform Terms for yourself and for the organisation you act for. If you do not agree, do not connect to or use any Integration.
1.3 Integrations are available only with our prior written approval and only for the purpose we approve (the “Approved Purpose”).
2. Intellectual property
2.1 Our licence to you. While you comply with these Platform Terms, we give you a limited, non-exclusive, non-transferable, revocable licence to use the Integration and Platform Data only for the Approved Purpose. Everything not expressly licensed stays with the Emanay Group, including all Emanay IP described in Part 1, section 3.4.
2.2 Your licence to us. You give the Emanay Group a worldwide, non-exclusive, royalty-free licence to use, host, display and process your content, your app or service, and your name, logos and marks, only as needed to operate, display, test, secure and promote the Integration and to provide services to our clients. You confirm you have the rights to grant this licence.
2.3 Protecting others’ rights. You will not use an Integration in a way that infringes anyone’s intellectual property, privacy or other rights, and you will respect any limits a client or user places on the use of their information.
3. Data use
3.1 Permitted use. You may process Platform Data only for the Approved Purpose, only to the extent necessary, and only as the relevant client or user has authorised.
3.2 Prohibited practices. You will not, and will not allow anyone to:
- sell, license, rent or buy Platform Data, or use it to build or enhance any data broker, list or dataset;
- profile any person, or combine Platform Data with other data about them, without their express consent;
- use Platform Data for surveillance or tracking of any person or group;
- use Platform Data to make decisions about any person’s eligibility for credit, employment, housing, insurance, immigration status or other benefits;
- attempt to re-identify any person from de-identified or aggregated data;
- use Emanay data or client data to train, fine-tune, evaluate or improve any artificial intelligence or machine-learning model;
- use Platform Data for advertising, marketing or solicitation outside the Approved Purpose;
- contact clients or users introduced through the OS except as the Approved Purpose allows.
3.3 Sharing. You may share Platform Data only with your service providers under section 5, with the client or user it relates to, or as required by law (after telling us where the law allows).
3.4 Retention and deletion. You will keep Platform Data only as long as needed for the Approved Purpose and will permanently delete it, and confirm deletion in writing, (a) when we or the relevant client or user ask, (b) when it is no longer needed for the Approved Purpose, and (c) when your access to the Integration ends, unless the law requires you to keep it.
3.5 Data received by mistake. If you receive Platform Data you were not meant to receive, you will tell us promptly at legal@emanay.io, not use it, and delete it as we instruct.
3.6 Material changes. Any material change to your Integration, the data you collect, or how you use it requires our re-approval before it goes live.
4. Privacy
4.1 You will maintain a publicly available privacy policy that accurately explains what data you collect through the Integration, how you use and share it, and how people can ask for it to be deleted.
4.2 You will comply with all applicable privacy, data protection, consumer protection, anti-spam and electronic communications laws, including obtaining any consents they require.
5. Service providers
5.1 You may use service providers to process Platform Data for you only under written agreements that (a) limit processing to your instructions and the Approved Purpose, (b) impose obligations at least as protective as these Platform Terms, and (c) require deletion when the service ends.
5.2 You are responsible for your service providers’ acts and omissions as if they were your own.
5.3 You will keep each client’s Platform Data separate from every other client’s, and never combine data from different clients.
5.4 Where we act as your service provider (for example, operating an intake form or partner page for you), we process data under these Platform Terms and our Privacy Policy.
6. Data security
6.1 You will maintain administrative, technical and physical safeguards appropriate to the sensitivity of Platform Data, including access controls, encryption in transit and at rest, logging, and prompt security patching.
6.2 You will never ask for, collect or store Emanay OS login credentials, passwords or authentication codes of any user.
6.3 You will protect API keys, tokens and secrets we issue, store them securely, never embed them in public code or share them, and tell us immediately if they may have been exposed.
6.4 You will notify us at legal@emanay.io within 72 hours of becoming aware of any actual or suspected unauthorised access to, or loss of, Platform Data, cooperate with our investigation, and not notify affected clients or users without coordinating with us, except where the law requires.
7. Compliance review, monitoring and audit
7.1 Review before access. We may review your Integration, your organisation and your data practices before granting access, and may require you to complete questionnaires or provide documents.
7.2 Ongoing monitoring. We monitor Integration activity, including API calls, data volumes and access patterns, to check compliance and protect the OS.
7.3 Audit. We, or an independent auditor we appoint, may audit your compliance with these Platform Terms no more than once a year on at least 10 business days’ written notice, or at any time without notice where we reasonably suspect a breach or a security incident. If an audit shows material non-compliance, you will pay its reasonable costs.
7.4 Certifications. On request, you will certify in writing your compliance with these Platform Terms, including deletion of Platform Data.
7.5 Enforcement. We may suspend or terminate your access to any Integration at any time if you breach these Platform Terms, if required by law, or to protect clients, users or the OS. Access credentials that go unused for 28 days may be revoked.
8. Notice
We will send notices to the contact details on your Integration or account. Send notices to us at legal@emanay.io and, for formal legal notices, also by mail to Emanay Inc., 1221 Brickell Avenue, Suite 900, Miami, Florida 33131.
9. Indemnification
You will defend, indemnify and hold harmless the Emanay Group and its owners, officers, team members and agents from all claims, losses, damages, fines and costs (including reasonable attorneys’ fees) arising from your Integration, your use of Platform Data, your service providers, or your breach of these Platform Terms or applicable law.
10. International transfers
10.1 Platform Data may be processed in the United States. If you transfer Platform Data across borders, you will do so only as permitted by law.
10.2 Transfers involving personal information from Canada will comply with PIPEDA and applicable provincial law, including Quebec Law 25; from the European Union with Standard Contractual Clauses or another valid transfer mechanism under the GDPR; and from the United Kingdom with the UK International Data Transfer Addendum or another valid mechanism.
11. General
11.1 These Platform Terms are governed by the laws of the State of Florida, and disputes are resolved as set out in Part 1, section 4.4.
11.2 If these Platform Terms conflict with a signed partner, creator or vendor agreement, the provision that better protects Platform Data and the Emanay Group applies.
11.3 We may update these Platform Terms as set out in Part 1, section 4.1. Sections 2.2, 3, 5.2, 6.4, 7.3, 7.4, 9 and 10 survive termination.
