Client Services Agreement: Standard Terms
A plain summary of the standard terms in our client engagements. Your signed engagement letter with Emanay Inc. governs; if this summary differs, the engagement letter wins.
1. Commitments between you and us
- Our commitments to you: perform the services in the engagement letter with care and skill; keep your information confidential and separate; disclose conflicts; and keep records of the work in the Emanay OS.
- Your commitments to us: give us complete and accurate information; tell us promptly about changes; review and approve documents before they are relied on; pay invoices when due; and use the OS under these Terms.
2. Customer identification
We verify the identity of clients, beneficial owners and signatories before and during an engagement (see the KYC/AML Notice in Part 12).
3. Statements and records
We send statements of account showing fees, third-party costs and payments, each line backed by a record in the OS. Tell us about any error within 30 days.
4. Payments
You pay Emanay Inc. by the methods on your invoice (see the ACH Debit and Payment Authorization and Invoice Payer Terms in Part 12). Brokerage commissions are paid to Emanay Realty.
5. Unpaid amounts
Overdue amounts may carry interest and collection costs as the engagement letter states, and we may pause work until they are paid.
6. Limits of responsibility
We are not responsible for decisions you make, for third parties you choose, for market, lender or government decisions, or for outcomes we do not control. Our liability for professional services is limited as set out in the engagement letter.
7. Indemnification
You indemnify us for losses caused by inaccurate information you give us or by your breach of the engagement letter, as the engagement letter sets out.
8. Notices and disclosures
We send notices electronically (see the E-SIGN Consent in Part 12). Our disclosures are in the Emanay Legal Center.
9. Ending the engagement
Either party may end an engagement as the engagement letter allows; fees earned and costs incurred up to that date remain payable, and some success fees may remain payable for transactions that close afterwards with parties introduced during the engagement, as the engagement letter states.
10. Governing law and disputes
As set out in the engagement letter; where it is silent, Florida law and the dispute terms in Part 1, section 4.4.
